(Public Offer)

This User Agreement (hereinafter — the “Agreement”) is an official offer (public offer) of the owner of the educational online platform focused.uz (hereinafter — the “Platform”) to enter into a contract on the terms set out below with any legally capable natural or legal person (hereinafter — the “User”).

In accordance with Articles 367 and 369 of the Civil Code of the Republic of Uzbekistan, the acceptance of this offer shall be deemed to be the User’s registration on the Platform and/or actual use of the Platform, including payment for Courses.

1. TERMS AND DEFINITIONS

1.1. Platform — a software and hardware complex, including the website https://focused.uz/, intended for hosting and providing access to educational content.

1.2. User — a legally capable natural person or an authorized representative of a legal entity who has registered on the Platform.

1.3. Course — a set of educational materials (video lessons, texts, presentations, assignments, tests, supplementary materials) hosted on the Platform by the Author or by the Platform.

1.4. Author — a natural person, individual entrepreneur, or legal entity that has provided educational content for hosting on the Platform on the basis of a separate agreement with the Platform.

1.5. Personal Account — the User’s personal section on the Platform, accessible after registration.

1.6. Access — the User’s right to view and use the Course within the limits established by this Agreement.

2. SUBJECT OF THE AGREEMENT

2.1. The Platform grants the User a non-exclusive, limited right of access to the Courses hosted on the Platform on paid or free terms.

2.2. The Platform is not an educational institution and does not issue state-recognized diplomas, unless expressly stated otherwise on the page of the specific Course.

2.3. The Agreement governs the relations between the Platform and the User arising in connection with the use of the Platform, regardless of who is the Author of the Course.

3. REGISTRATION AND ACCESS TO THE PLATFORM

3.1. To use the functionality of the Platform, the User must complete registration by providing accurate and up-to-date information.

3.2. The User bears full responsibility for the safekeeping of their login and password and for all actions performed in their Personal Account.

3.3. Access to paid Courses is granted upon receipt of payment through the payment systems integrated with the Platform.

3.4. The Platform has the right to:

• temporarily or permanently restrict access to the Personal Account;
• block the User’s account in the event of breach of the terms of the Agreement, the legislation of the Republic of Uzbekistan, or the rights of third parties.

4. INTELLECTUAL PROPERTY

4.1. All materials hosted on the Platform, including the Courses, the website design, the program code, texts, and videos, are objects of intellectual property.

4.2. Exclusive rights to the Courses belong to the Authors or to the Platform on lawful grounds.

4.3. The User is granted the right to use the Courses solely for personal, non-commercial purposes.

4.4. The User is prohibited from:

• copying, recording, distributing, or publishing materials of the Courses;
• transferring access to third parties;
• using the materials for commercial purposes without the written consent of the rightsholder.

5. FINANCIAL TERMS AND REFUNDS

5.1. The cost of access to the Courses is indicated on the corresponding page of the Course on the Platform.

5.2. All settlements are carried out in the national currency of the Republic of Uzbekistan — Uzbek soums (UZS).

5.3. Payment is made through the payment services available on the Platform.

5.4. Refunds are possible in the cases and in the manner provided for by:

• the legislation of the Republic of Uzbekistan;
• the Refund Policy of the Platform (published separately).

5.5. The Platform acts as a payment agent between the User and the Author of the Course.

6. RIGHTS AND OBLIGATIONS OF THE PARTIES

6.1. The Platform undertakes to:

• provide access to paid Courses within reasonable time frames;
• maintain the operability of the Platform;
• ensure the protection of the Users’ personal data.

6.2. The User undertakes to:

• use the Platform in accordance with the legislation of the Republic of Uzbekistan;
• not infringe copyright and related rights;
• not take actions aimed at disrupting the operation of the Platform.

6.3. The Platform has the right to:

• amend the content of the Courses;
• change the cost of access to new Courses;
• suspend the operation of the Platform for technical works.

7. LIABILITY AND LIMITATIONS

7.1. The Platform shall not be liable for:

• temporary failures caused by technical reasons;
• actions of payment systems;
• the quality of the User’s Internet connection.

7.2. The Platform does not guarantee that the User will achieve any specific (educational, financial, or career) results.

7.3. The Platform’s liability shall in any case be limited to the amount actually paid by the User for access to the Course.

8. PERSONAL DATA AND CONFIDENTIALITY

8.1. Personal data is processed in accordance with the Law of the Republic of Uzbekistan “On Personal Data”.

8.2. The User consents to the processing of their personal data upon registration.

8.3. The User consents to receiving service and informational notifications related to the operation of the Platform.

9. TERM AND AMENDMENT OF THE AGREEMENT

9.1. The Agreement shall enter into force from the moment of acceptance by the User and shall be valid for an indefinite period.

9.2. The Platform has the right to make amendments to the Agreement unilaterally.

10. FINAL PROVISIONS

10.1. In all other matters not regulated by this Agreement, the parties shall be governed by the legislation of the Republic of Uzbekistan.

10.2. All disputes shall be subject to consideration by the judicial authorities of the Republic of Uzbekistan at the place of registration of the Platform.
